- Advising on how best to position our client’s company in order to maximize valuation, as well as identifying and addressing any potential deal issues;
- Leading the execution of the M&A strategy by:
- Leading the drafting of the information memorandum and management presentation;
- Identifying the most attractive potential buyers for our client’s company, which could include both strategic and financial buyers, and
- Initiating contact with potential buyers to discuss potential transactions;
- Managing all aspects of the transaction timetable – memo distribution, management meetings, initial indications of interest, due diligence, negotiations, best and final offers, and closing process;
- Negotiating and structuring the optimal transaction terms for our client to include closing consideration, contingent consideration (if necessary) and employment agreements, analyzing and valuing various deal structures and forms of consideration; and
- Coordinating throughout the transaction with other advisors on the transaction – attorneys, accountants, tax experts and consultants – to maintain an efficient and timely transaction process culminating in the closing process.
